Terms of Service

1. Who we are

These terms apply to all services provided by Passim IT, a sole proprietorship (eenmanszaak) registered in the Netherlands.

In these terms, "we", "us" and "Passim IT" mean the above. "You" and "Customer" mean the person or organisation ordering our services.

2. What these terms cover

These terms apply to every order, quotation, agreement and service delivered by Passim IT, including game server hosting, virtual private servers, web hosting, databases, and any consultancy or hardware we agree to supply.

Our Acceptable Use Policy and Privacy Policy form part of these terms. Where they conflict with this document, this document takes precedence, except where the Privacy Policy is required by law to take precedence.

We may vary these terms. We will notify you by email at least 30 days before a change takes effect. If a change materially disadvantages you, you may terminate your service with effect from the date the change takes effect, without penalty, by telling us before that date.

3. Forming an agreement

An agreement exists when you complete an order through our website and receive our confirmation by email, or when you accept a written quotation from us.

Quotations are valid for 14 days unless stated otherwise and are not binding until accepted in writing.

We may refuse or cancel an order at our discretion, including where we reasonably believe the intended use breaches our Acceptable Use Policy, where we cannot verify your identity, or where we lack the capacity to deliver. If we cancel a paid order before delivery, we refund it in full.

4. What we provide

We provide the service described on the product page you ordered from, using the resources stated there. Where a product page states a CPU, an amount of RAM and an amount of storage, those are the resources allocated to your service.

We do not oversell memory. The RAM stated on your plan is reserved for your service and is not shared with other customers.

Services are provided from hardware located in the Netherlands. We will tell you if that changes.

Our services are provided on a best-effort basis and we do not give an uptime guarantee. We do not offer a Service Level Agreement unless one has been separately agreed in writing and paid for. See section 9.

5. Support

We provide support by ticket at https://passimit.com/tickets and aim to respond within 1 hour during our published support hours of 07:00 to 23:00 CET/CEST, seven days a week.

Support hours are a target, not a contractual commitment. We are a small team and there will be occasions when we are slower. Outside published hours we respond when we can.

Support covers the operation of the service we provide. It does not cover debugging your plugins, mods, game configuration or third-party software, although we will often help anyway if we can.

6. Your responsibilities

You are responsible for:

The content, data and software you place on the service, and for having the right to use it.
Complying with our Acceptable Use Policy.
Keeping your account credentials secure, and for everything done through your account.
Keeping your own backups. We describe our backups in section 8, and they are not a substitute for yours.
The behaviour of anyone you allow to use your service, including your players and any staff you appoint.
Giving us accurate contact and billing details and keeping them current.

7. Prices and payment

All prices are shown in euro. Prices shown to consumers include BTW where applicable. Prices shown to business customers may be exclusive of BTW, as indicated at checkout.

Services are billed in advance on a recurring monthly, quarterly or yearly basis from the date of activation. Payment is by the methods offered at checkout, currently iDEAL, credit card, bank transfer and other methods via Mollie, and PayPal.

If a payment fails or is not received by the due date, we will notify you. If payment remains outstanding 7 days after the due date we may suspend the service. If it remains outstanding 14 days after the due date we may terminate the service and delete the associated data. We will send at least one reminder before suspension and one before deletion.

We may change our prices. Existing customers will be given at least 60 days notice by email before a price change takes effect, and may terminate without penalty before it does.

Founding customer pricing: where we have agreed in writing to hold a specific price for you, we will honour it for the period agreed.

Chargebacks: if you dispute a payment with your bank or PayPal without first raising a ticket with us, we may suspend your services immediately and recover reasonable administrative costs.

8. Backups

We maintain backups of customer data for our own operational recovery purposes. Our current practice is 24 hourly, 7 daily, 4 weekly, 12 monthly and 1 yearly backup. With an encrypted off-site copy.

These backups exist so that we can recover our platform. They are not a customer backup service and we do not guarantee that any individual file, world or database can be restored. We will make reasonable efforts to assist with a restore on request.

You are responsible for maintaining your own backups of anything you cannot afford to lose. Tools to download your data are provided in the control panel.

9. Availability and liability

We aim for high availability but we do not guarantee uninterrupted service. Interruptions may occur due to maintenance, hardware failure, network failure, denial-of-service attacks, upstream provider failure, or events outside our control.

Planned maintenance: we will give at least 24 hours notice by email, panel or Discord server notice where reasonably possible, and will schedule it outside peak hours where we can.

Emergency maintenance: we may act without notice where necessary to protect the platform, other customers, or the security of the service.

Our total liability to you for any and all claims arising in any period of twelve consecutive months is limited to the total amount you paid us for the affected service in the three months preceding the event giving rise to the claim, with a maximum of €500.

We are not liable for:

Indirect or consequential loss, including lost profits, lost revenue, lost players, lost goodwill or reputational harm.
Loss or corruption of data, except where caused by our intent or gross negligence, and in all cases subject to the cap above.
Interruption caused by denial-of-service attacks, upstream network failure, or the acts of third parties.
Loss arising from your own configuration, plugins, mods or third-party software.

Nothing in these terms excludes or limits our liability for intent (opzet) or gross negligence (grove schuld), for death or personal injury, or any liability that cannot be excluded under Dutch law. If you are a consumer, your statutory rights under Dutch law are unaffected by these terms.

Force majeure includes but is not limited to: failure of our internet or power supply, failure of an upstream network or datacentre, denial-of-service attacks, government action, pandemic, fire, flood and strike.

10. Suspension and termination

By you: you may terminate at any time from your account panel, or by ticket, with effect from the end of your current billing period. We do not refund the remainder of a paid period unless required by law (see section 11).

By us, for cause: we may suspend or terminate immediately, without refund, where you breach the Acceptable Use Policy in a way that threatens the platform, other customers, our network, or our relationship with our own suppliers. We will tell you why.

By us, without cause: we may terminate any service by giving you 30 days notice by email, and will refund any prepaid period not used.

On termination: we will retain your service data for 14 days after termination, during which you may request a copy. After that period it is permanently deleted, including from backups within our normal retention cycle.

11. Right of withdrawal for consumers

If you are a consumer resident in the EU, you normally have 14 days from the conclusion of the agreement to withdraw from it without giving a reason.

Because our services begin immediately, you will be asked at checkout to confirm that you want us to start performance immediately and that you acknowledge you lose your right of withdrawal once the service has been fully delivered. Where performance has begun with your consent but the service is not fully delivered, and you then withdraw within the 14 days, you owe us a proportionate amount for what has been delivered.

If you did not give that consent, you may withdraw within 14 days by emailing [email protected] and we will refund you within 14 days of receiving your notice.

12. Intellectual property

You keep all rights to the content and data you place on our services. You grant us only the limited licence needed to host, transmit, back up and restore it in order to provide the service.

We keep all rights to our own software, configurations, documentation, branding and website content.

13. Confidentiality

Each of us will keep confidential any non-public information the other provides in connection with the service, and use it only for the purpose it was given.

14. Transfer

You may not transfer your agreement to someone else without our written consent. We may transfer our agreement as part of a transfer of our business, and will tell you if we do.

15. Complaints

If you are unhappy, open a ticket at https://passimit.com/tickets or email [email protected]. We will acknowledge within 2 working days and aim to resolve within 14 days. If we cannot, we will tell you why and when we expect to.

16. Governing law

Dutch law governs these terms. Disputes go to the competent court in Rechtbank Gelderland.

If you are a consumer, nothing here affects your right to bring proceedings in the courts of your own country of residence where EU law gives you that right.

17. Severability

If any provision of these terms is void or unenforceable, the rest remains in force and the void provision is replaced by one that comes as close as possible to its intended effect.
